By accessing or using WhizzMeet, you agree to be bound by these Terms. Please read them carefully.

Binding Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you (or your organisation) and WhizzAct Private Limited ("WhizzAct", "we", "us"). If you do not agree, do not use WhizzMeet.
1 Definitions
- "Service" — WhizzMeet, the video meeting and workspace platform operated by WhizzAct Private Limited.
- "User" — any individual who accesses or uses the Service.
- "Admin" — the User who creates and manages a Workspace.
- "Workspace" — an organisational account on WhizzMeet.
- "Subscription" — a paid plan that unlocks features beyond the free tier.
- "Content" — any data, recordings, messages, or files submitted through the Service.
- "WhizzAct" — WhizzAct Private Limited, a company incorporated in India.
2 Eligibility & Account Registration
- You must be at least 18 years old to create a Workspace or subscription account.
- By registering, you represent that all information provided is accurate and current.
- You are responsible for maintaining the confidentiality of your credentials. Notify us immediately of any unauthorised access at security@whizzact.com.
- One person or legal entity may not maintain more than one free Workspace without express permission.
- Business accounts must be registered by an authorised representative of the organisation.
3 Services Provided
WhizzMeet provides:
- Secure, real-time video and audio conferencing via WebRTC/mediasoup SFU technology.
- Organisation-isolated meeting rooms with role-based member management.
- Meeting scheduling, history and metadata tracking.
- Workspace subscription and billing management.
- Optional features: recording, screen sharing, chat (as available on your plan).
We reserve the right to modify, suspend or discontinue features with reasonable notice. The Service is provided "as is" subject to our Privacy Policy and these Terms.
4 Acceptable Use Policy
You agree not to use WhizzMeet to:
- Conduct or facilitate any unlawful activity under Indian law or applicable international law.
- Transmit, distribute or store material that is abusive, harassing, obscene, defamatory, or violates any third-party rights.
- Engage in activities prohibited under the Information Technology Act 2000 (including Sections 66, 67, 69 and related provisions).
- Record or share meetings without the consent of all participants where legally required.
- Attempt to reverse-engineer, decompile or tamper with the Service.
- Use automated scripts or bots to access the Service without written consent.
- Violate any applicable data protection or privacy law.
- Impersonate any person or entity or misrepresent your affiliation.
- Transmit malware, spyware, or any destructive code.
- Resell, sublicense or commercially exploit the Service without our express written consent.

Violations
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may be reported to law enforcement authorities.
5 Subscription & Billing
- Subscriptions are billed on a recurring basis (monthly or annual) as selected at checkout.
- All prices are in Indian Rupees (INR) and inclusive of applicable taxes (GST) unless stated otherwise.
- Payment is processed by Cashfree Payments, a PCI-DSS Level 1 compliant payment processor.
- Subscriptions auto-renew unless cancelled before the renewal date.
- Downgrading to a lower plan takes effect at the next billing cycle.
- We reserve the right to revise pricing with 30 days' notice to active subscribers.

6 Intellectual Property
- WhizzMeet and all underlying technology, trademarks, logos, and content are the exclusive property of WhizzAct Private Limited.
- We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
- You may not copy, distribute, modify or create derivative works of the Service without express written permission.
- Feedback, suggestions or feature requests you submit may be used by us without obligation or compensation.
7 User Content
- You retain ownership of all Content you submit through WhizzMeet.
- By submitting Content, you grant WhizzAct a limited licence to host, transmit and display that Content solely to provide the Service.
- You represent that you have all rights necessary to submit the Content and that it does not infringe any third-party intellectual property, privacy or other rights.
- We do not access meeting content for commercial purposes. Recordings are stored as-is and processed only for delivery to authorised Workspace members.
- You are solely responsible for ensuring that recording participants have provided consent as required by applicable law.
8 Data & Privacy
Your use of WhizzMeet is governed by our Privacy Policy, which is incorporated into these Terms by reference. If you use WhizzMeet as a data controller processing personal data of third parties (e.g., employees, customers), you must execute our Data Processing Agreement.
9 Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with these Terms. This obligation does not apply to information that:
- Is or becomes publicly available without breach of this obligation;
- Was already known to the receiving party;
- Must be disclosed by law or court order.
10 Disclaimers & Limitation of Liability

No Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or uninterrupted availability.
- WhizzAct's aggregate liability under these Terms shall not exceed the amount paid by you in the 3 months preceding the claim.
- WhizzAct shall not be liable for indirect, incidental, special, consequential or punitive damages.
- We are not liable for service interruptions caused by third-party infrastructure, internet outages, force majeure, or government orders.
- Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our negligence, as prohibited by applicable Indian law.
11 Indemnification
You agree to indemnify and hold harmless WhizzAct Private Limited, its directors, officers and employees from any claims, liabilities, damages or costs (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms;
- Your Content or data submitted through the Service;
- Your violation of any applicable law or third-party rights.
12 Term & Termination
- These Terms are effective from the date you first use the Service and continue until terminated.
- You may terminate your account at any time via Workspace Settings or by emailing support@whizzact.com.
- We may suspend or terminate your account with 7 days' notice for breach of these Terms, or immediately for serious violations (e.g., illegal activity).
- Upon termination, your data will be retained per our Privacy Policy retention schedule and then deleted.
- Provisions that by their nature survive termination (IP, liability limits, dispute resolution) continue after termination.
13 Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Republic of India.
- Any disputes shall first be attempted to be resolved through good-faith negotiation within 30 days of written notice.
- Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act 1996, conducted in English, seated in Bangalore, Karnataka, India.
- Courts in Bangalore shall have exclusive jurisdiction for matters not subject to arbitration.
- Users in the EEA may also approach their local courts or consumer protection authorities for consumer law disputes.
14 Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email and in-dashboard notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
